It's a excellent theme so i'm using it on my site. But i don't know how to make a logo. I've got Fireworks MX and Photoshop v6.0.1

I only want to edit nukemods.com text and change the image on the left. How can i make it ?

Look in that theme package. I included a logotempalte.jpg file. You can open it in Fireworks and then use your text tool to put the text of your choice on top of it. Export it as logo.jpg and you're done.

I couldn't find a "logotemplate.jpg" file, is it logo.jpg ?

I've opened it in Fireworks and selected the text tool but it's writing over the nukemods.com text. How can i remove this text ?

Ther is a logotempalte.jpg file in the phpib2 Theme pack for Both Nuke6.0 and Nuke6.5

Did you see the README file? It is right there with it. It's not in the themes folder. It in the root directory of your extracted contents.
